Terms of Service
These terms govern your use of surfawiki. Please read them — they explain what you can expect from us and, importantly, the limits of our responsibility.

1. Acceptance of these terms
These Terms of Service ("Terms") are a binding agreement between you ("you" or "user") and SurfAWiki LLC ("surfawiki," "we," "us," or "our"), a Florida limited liability company. By accessing or using the surfawiki.ai website, the surfawiki web application, the standalone surfawiki desktop application, or any related services (together, the "Services"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. The Services
surfawiki lets you connect storage locations and folders you control, ingests the content you authorize, and builds a private wiki that you and your authorized tools can query, including via AI. Features, storage modes, and availability may change, and we may modify, suspend, or discontinue any part of the Services at any time.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the accuracy of your account information, for all activity under your account, and for maintaining the confidentiality of your login. Notify us promptly at admin@surfawiki.ai of any unauthorized use.
4. Credentials and API keys
Access to your wiki is gated by your credentials, preferably API keys. You are solely responsible for generating, storing, rotating, and protecting your keys and tokens, and for any use made of them. Activity authenticated with your credentials is your responsibility. We are not liable for loss arising from your failure to safeguard your credentials.
5. Your data and the permissions you grant
As between you and us, you retain all ownership of the content you connect or upload. You grant SurfAWiki LLC a limited, non-exclusive license to access, copy, process, index, and store that content solely to provide the Services to you. You represent that you have the rights and authorizations necessary to connect the storage and content you grant us access to, and that doing so does not violate any law or third-party right. You are responsible for maintaining your own independent backups of any data that matters to you.
6. Acceptable use
You agree not to: use the Services unlawfully or to infringe others' rights; upload content you lack the right to use; attempt to access another customer's data; probe, breach, or circumvent security or access controls; interfere with or overload the Services, or consume compute, storage, bandwidth, or ingestion capacity in a manner that is excessive, abusive, automated at scale, or disproportionate to your plan; reverse engineer or attempt to extract our underlying systems except as permitted by law; or resell or provide the Services to third parties except as expressly authorized. We may suspend or terminate access for violations.
7. Fair use, resource limits, and enterprise usage
The Services are offered subject to fair-use and resource limits so that surfawiki stays reliable and sustainable for every customer. We may set, publish, and enforce limits on your use of the Services, including, without limitation: the maximum size of any individual file or document set accepted for ingestion; the total number or volume of files ingested; the total amount of data stored; ingestion frequency and concurrency; compute, processing, bandwidth, and query volume; and the size or complexity of documents we will scan or process. The limits that apply to your plan are described in your account or plan materials, and we may change them from time to time.
Where your use meets or exceeds these limits, or would impose disproportionate cost or load, we may — at our discretion and, where reasonable, with notice — queue, throttle, pause, or decline the ingestion, processing, storage, or query; require you to reduce your usage; require you to upgrade to a higher, enterprise, or usage-based plan; apply usage-based or overage fees disclosed to you; or suspend or terminate accounts whose usage exceeds what the applicable plan can cost-effectively support. We are not obligated to ingest, store, process, or retain any file or data set that exceeds the applicable limits, that is impractical or disproportionately costly to process, or that we reasonably determine could degrade the Services or harm other users, and we may decline or remove such content, using reasonable efforts to notify you first.
Enterprise and high-volume use. If your intended use involves very large files, large document sets, high ingestion volume, high processing intensity, or dedicated capacity, that use may be available only under an enterprise or custom-priced plan that covers the additional backend cost of delivering it. Contact admin@surfawiki.ai to arrange terms. We reserve the right to require such a plan as a condition of continued or expanded use, and to decline or discontinue any use that we cannot deliver on a commercially reasonable basis.
8. AI output and accuracy
surfawiki organizes information and answers queries automatically and using artificial intelligence. AI-generated and automatically organized output may be incomplete, outdated, or incorrect, and may misclassify, misrelate, or misrepresent your underlying data. The Services are an aid, not a substitute for professional judgment. You are solely responsible for reviewing and independently verifying any output before relying on or acting upon it. You assume all risk arising from any misunderstanding, misinference, or misapplication of your data or of the Services' output.
9. Plans, billing, and refunds
Paid plans (including subscriptions and the one-time desktop license) are billed through our third-party payment processor. By purchasing, you authorize the applicable charges and any recurring charges until you cancel. Subscriptions renew automatically unless cancelled before the renewal date. Fees are stated exclusive of taxes, which you are responsible for. Except where required by law or expressly stated, payments are non-refundable. You can cancel at any time; cancellation stops future charges but does not retroactively refund the current period.
Certain plans, features, capacity, or usage levels — including very large files, large document sets, high-volume or high-intensity ingestion, and dedicated or accelerated processing — may be offered only on higher-priced, enterprise, or usage-based plans, and may carry usage-based or overage charges. We may introduce, meter, or adjust such charges and limits on a prospective basis as described in Section 7.
10. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, secure, or that any output will be accurate, complete, or fit for your purposes. This applies to the website, the web application, and the standalone desktop application alike.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SURFAWIKI LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
Without limiting the above, SurfAWiki LLC is not responsible or liable for: (a) any loss, deletion, corruption, or unavailability of your data; (b) any misunderstanding, misinference, misclassification, or misapplication of your data or of the Services' output; (c) any decision or action you take in reliance on the Services; or (d) the acts, omissions, or availability of any third-party storage, network, AI provider, or other service you connect or direct us to use — whether arising from use of the website, the web application, or the standalone desktop application.
In all cases, our total aggregate liability for any and all claims relating to the Services will not exceed the greater of (i) the amounts you paid to surfawiki for the Services in the three (3) months immediately preceding the event giving rise to the claim, or (ii) US $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless SurfAWiki LLC and its members, officers, and employees from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.
13. Termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, to protect the Services or other users, or if your usage exceeds the applicable limits or what your plan can cost-effectively support and you do not promptly reduce it or move to an appropriate plan (see Section 7). Where the circumstances reasonably permit, we will give you notice and an opportunity to cure before terminating for cost or capacity reasons. Upon termination, your right to use the Services ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Florida will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to personal jurisdiction there. Nothing in these Terms limits any non-waivable rights you may have under the mandatory law of your place of residence.
15. Changes to these Terms
We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, take reasonable steps to notify you. Your continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.
